Pass and Visas

WORK PASS & VISAS

Employers who wish to engage foreigners to work in Singapore are required statutorily to apply for a valid work pass or visa before the employees start work. There are several types of pass and visa available for different categories of foreigner and are represented below:

  1. Professionals

  2. Mid-Skilled Workers

  3. Semi-Skill and Unskilled Workers

  4. Short Term Pass

  5. Foreigners Undergoing Training

  6. Foreign Entrepreneurs

1. Professionals

  • Employment Pass: allows foreign professionals to work in Singapore. It applies to foreigners who earn a fixed monthly salary of more than $3,000, and have recognized qualifications. A new application is required whenever there is change of employer.

  • Entrepreneur Pass (EntrePass): Foreign entrepreneurs or businessmen who would like to set up their businesses in Singapore may apply for an EntrePass.

  • Personalised Employment Pass (PEP): PEP is designed for certain group of existing Employment Pass holders and foreign professionals. The differences between Employment Pass and PEP are – PEP is not tied to the employer; and the holder can remain in Singapore for up to 6 months search for new employment opportunities.

2. Mid-Skilled Workers

  • S Pass: Mid-level skilled foreigners, who earn a fixed monthly salary of at least S $2,000, are eligible to apply for an S Pass.

3. Semi-Skilled or Unskilled Workers

  • Work Permit: Semi-skilled or unskilled foreign workers from an approved source country/territory (depending on the sector which the worker is going to be employed in).

4. Short Term Pass

  • Miscellaneous Work Pass: This pass is applicable to foreigners who will be working in Singapore on short term assignments that fall into certain activity categories. The maximum period of stay is 60 days.

5. Foreigners Undergoing Training

  • Training Employment Pass: This pass is applicable to foreigners who are attached to professional, managerial, executive or specialist jobs for practical training purposes.

6. Foreign Entrepreneurs

  • Multiple Journey Visa: This visa facilitates the frequent entry of foreign entrepreneurs from countries that require a visa into Singapore, which is suitable for you who are interested in exploring business opportunities in Singapore. 

  • Long Term Visit Pass for Entrepreneurs: This pass is suitable for foreign entrepreneurs who wish to have a longer stay in Singapore for business opportunities exploration purposes. The pass also entitles you to leave and re-enter Singapore within the validity period, without having to re-apply it every time. 

Nominee Officers

NOMINEE OFFICERS

Under the Company's Act, companies in Singapore are required to have at least 1 local director. The Company Act does not limit the maximum number of directors a company can have. The Act also separates shareholders from directors, a director does not necessarily have to be a shareholder, and a shareholder does not have to be a director.

The Singapore Company Act requires the director and the company secretary to be legally responsible and accountable as the company’s representatives. In addition, at least 1 member is required to hold Annual General Meetings and to furnish Accounting Compliance Regulatory Authority (ACRA) with the company’s annual return statements. The director must also file the company’s tax returns with the Inland Revenue Authority of Singapore (IRAS).

 

The company director must fulfill the following requirements

  • Must be a Singapore citizen and a permanent resident of the country.

  • The person can also have a Dependent Pass, Employment Pass or EntrePass with a Singapore resident address.

  • Must not be bankrupt or have a criminal record

  • Must be 18 years and above

A company whose shareholders are Singapore residents can appoint one of its members to act as the director. However, foreigners wishing to incorporate a company in Singapore need to find a local qualified director.

 

At Brood en Boter, we provide Nominee Director Services to enable foreigners in setting up their companies in Singapore.

Terms of Nominee Services

Due to the nature of the nominee services, the Nominee Director Services will require certain provisioning terms to ensure that your company's interests are safeguarded.

  • We will conduct a risk assessment of your company and reserve the right to provide your company with our Nominee Director Service.

  • We will provide a qualified Accountant candidate to fill the position as a local director.

  • You must appoint an active director to oversee your company’s operations.

  • The nominee director will not be actively involved in the running of the company.

  • The nominee director will not be a signatory to the company’s bank accounts.

  • The nominee director will not hold any shares in your company.

  • The nominee director must be safeguarded from company liabilities, penalties, debts, fines and any other expenses incurred by the company.

  • You should subscribe to our Company Secretary Services and Annual Taxation filing services.

       or

  • You will be required to furnish us with your company’s financial records periodically.

Required Documents

We will require the following Documents:

  1. Director Indemnity Agreement: This agreement is meant to safeguard the nominee from your company’s liability. The agreement states that the nominee director is not accountable for any expenses of the company or levies and fines attached for failure to comply with the Singapore Company Act, ACRA and IRAS.

  2. A refundable security deposit: After we complete the risk assessment, you will have to deposit a security fee of $3,000. This deposit is refundable in case of termination of the contract and to appoint a local qualified director to replace us.

 

We will provide the following Documents:

  1. A Signed Non-dated Resignation letter: The nominee director will hand in a pre-signed non-dated resignation letter. This gives you the power to terminate the services of our nominee director at any time if you are not satisfied with our services.
